1. Eligibility & Account Use

By using the Site, you represent that you are at least the age of majority in your province or territory of residence, or that you are a legal guardian who has reviewed and consented to these Terms on behalf of a minor in your household.

You are responsible for maintaining the confidentiality of any account credentials you create. We recommend using a strong, unique password and not sharing your login details with anyone. If you suspect your account has been accessed without authorisation, notify us immediately at info@suteraa.com.

You agree to provide accurate, current, and complete information when registering an account or placing an order, and to keep that information up to date. Accounts created using false information may be suspended or permanently closed without notice.

2. Acceptable Use

You may use the Site only for lawful purposes and in a manner consistent with these Terms. You agree not to:

• Use the Site in any way that violates applicable local, national, or international law or regulation
• Reproduce, copy, sell, or commercially exploit any part of the Site or its content without our express written consent
• Upload, transmit, or distribute any malicious code, software, or technology that could harm the Site or its users
• Collect or harvest personal data from other users, or use automated tools to scrape or crawl the Site
• Misrepresent yourself or impersonate any person or entity
• Post or transmit content that is offensive, defamatory, harassing, or violates the rights of others

Violation of these conditions may result in the immediate suspension or permanent termination of your access to the Site and its services, at our sole discretion.

3. Site Content & Accuracy

We make every reasonable effort to ensure the content on the Site is accurate, complete, and up to date, including product descriptions, pricing, availability, and imagery. However, we do not warrant that all information is error-free or exhaustive at all times.

Product photography is as true-to-life as we can make it, but colours may vary slightly depending on your screen calibration and display settings. If you have questions about a specific item before purchasing, please contact us and we'll do our best to help.

The Site may also contain historical content retained for reference. We reserve the right to modify, remove, or update any content on the Site at any time without notice and without obligation.

4. Products & Pricing

All prices on the Site are listed in Canadian Dollars (CAD) and are inclusive of applicable taxes unless otherwise stated at checkout. There are no hidden fees, what you see is what you pay.

We reserve the right to adjust pricing at any time without prior notice. In the event that an item is listed at an incorrect price due to a system or typographical error, we reserve the right to cancel the relevant order and issue a full refund, even after a purchase has been confirmed. We will notify you promptly if this occurs.

Certain products may be available in limited quantities or exclusively online. We reserve the right to limit quantities sold to any individual customer or region, and to discontinue any product at any time.

Exchanges and returns are governed by our Refund & Return Policy, which forms part of these Terms.

5. Orders & Payment

Completing checkout and submitting your order constitutes an offer to purchase. We reserve the right to accept or decline any order at our discretion, for example, in cases of suspected fraud, payment failure, stock limitations, or shipping restrictions.

By providing your payment details, you confirm that you are the authorised holder or user of the payment method, and that the billing information provided is accurate. Payments are processed securely by trusted third-party payment providers. We do not store your full card details on our servers.

If we need to cancel or modify your order after it has been placed, we will attempt to contact you using the details provided at checkout. For details on shipping timelines and carrier information, please refer to our Shipping Policy.

6. Cancellations & Refunds

Order cancellations, returns, and refund eligibility are detailed in our Refund & Return Policy. We encourage you to review that document before purchasing. The Refund & Return Policy forms part of these Terms and is incorporated by reference.

7. Intellectual Property

All content published on the Site, including but not limited to the Suteraa name, wordmark, logo, product photography, graphic design, editorial copy, and any other original materials, is the property of Suteraa or its licensed content partners, and is protected under applicable Canadian and international copyright and trademark law.

Nothing on the Site grants you a licence or right to use our intellectual property in any form without our prior written consent. Unauthorised reproduction, distribution, modification, or commercial use of any Site content is strictly prohibited and may give rise to legal action.

8. User Submissions & Reviews

If you submit content to the Site or to Suteraa's social channels, whether that's a product review, photograph, testimonial, creative suggestion, or any other material ("Submission"), you grant Suteraa a non-exclusive, royalty-free, irrevocable, worldwide licence to use, reproduce, publish, translate, and distribute that Submission across any medium and for any lawful commercial purpose, without obligation of compensation or credit.

By making a Submission, you confirm that:

• You are the original creator of the content, or have all necessary rights to share it
• Your Submission does not infringe on the copyright, trademark, privacy, or any other rights of a third party
• Your Submission does not contain unlawful, offensive, defamatory, misleading, or harmful content
• Your Submission does not include malicious code or technology of any kind

We reserve the right (but not the obligation) to review, moderate, edit, or remove any Submission at our discretion. We are not responsible for the accuracy or content of any Submission made by users.

9. Third-Party Services & Links

The Site may include links to external websites, or may utilise third-party tools such as payment processors, analytics platforms, or customer support widgets. These third-party services are not controlled by Suteraa, and we are not responsible for their content, accuracy, privacy practices, or reliability.

Access to third-party tools through the Site is provided on an "as is" and "as available" basis. We accept no liability for any loss or damage arising from your use of, or reliance on, any third-party service or content. We encourage you to read the terms and privacy policies of any external service before engaging with it.

10. Prohibited Conduct

In addition to the general use restrictions outlined in Section 2, the following conduct is expressly prohibited on or in connection with the Site:

• Engaging in any activity that could disable, overload, or impair the Site's infrastructure or security systems
• Circumventing or attempting to bypass any access controls, authentication mechanisms, or digital protections on the Site
• Using the Site or its content to support spam campaigns, phishing schemes, or any other form of deceptive communication
• Purchasing products with the intent to resell commercially without our prior written authorisation
• Submitting fraudulent orders, chargebacks, or payment disputes without valid grounds

Suteraa reserves the right to pursue all available legal remedies in response to conduct that breaches these Terms or causes harm to our business, customers, or reputation.

11. Disclaimer of Warranties

The Site and all content, products, and services made available through it are provided on an "as is" and "as available" basis. Suteraa makes no representations or warranties of any kind, express, implied, or statutory , regarding the uninterrupted availability, accuracy, security, or fitness for purpose of the Site or any product offered through it.

We do not warrant that the Site will be free of errors, that defects will be corrected, or that the Site or its servers are free of viruses or other harmful components. Your use of the Site is entirely at your own risk.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Suteraa, along with its directors, employees, contractors, agents, and suppliers, shall not be liable for any indirect, incidental, special, consequential, or punitive damages , including loss of revenue, loss of data, or loss of goodwill, arising from your use of, or inability to use, the Site or any product purchased through it.

In any case where liability cannot be fully excluded, our total aggregate liability to you for any claim arising out of or related to these Terms or your use of the Site shall not exceed the amount you paid for the specific product or service giving rise to that claim.

Some jurisdictions do not permit the exclusion or limitation of certain types of damages. If applicable law in your province or territory limits the scope of these exclusions, they will apply only to the maximum extent permitted.

13. Indemnification

You agree to defend, indemnify, and hold harmless Suteraa, its affiliates, and each of their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to: (a) your breach of any provision of these Terms; (b) your violation of any applicable law or the rights of any third party; or (c) any content or Submission you provide to the Site.

14. Privacy

Your use of the Site is also subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. The Privacy Policy is incorporated into and forms part of these Terms. By using the Site, you consent to the practices described in our Privacy Policy.

15. Errors & Corrections

Despite our best efforts, the Site may occasionally contain typographical errors, inaccuracies, or omissions in product listings, descriptions, pricing, availability, or promotional details. We reserve the right to correct any such errors and to update or withdraw information at any time without prior notice, including after an order has been placed.

We are not obligated to update content on the Site beyond what is required by law. The presence of an update date or revision notice does not guarantee that all content has been reviewed or amended.

16. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed from these Terms entirely if modification is not possible. The invalidity of any single provision will not affect the validity or enforceability of the remaining Terms.

These Terms remain effective unless and until terminated. You may stop using the Site at any time, which will constitute termination of your obligations under these Terms going forward.

We reserve the right to suspend or permanently revoke your access to the Site at our sole discretion, at any time and without notice, if we believe you have breached these Terms or engaged in conduct that is harmful to Suteraa, other users, or third parties. Any outstanding obligations, including amounts owed, will survive termination.

18. Waiver

Our failure to enforce any right or provision under these Terms on any given occasion does not constitute a waiver of that right or provision going forward. Any waiver must be made in writing and signed by an authorised representative of Suteraa to be effective.

19. Entire Agreement

These Terms, together with our Privacy Policy, Refund & Return Policy, and Shipping Policy (each incorporated herein by reference), constitute the entire agreement between you and Suteraa with respect to your use of the Site and the purchase of our products. They supersede all prior communications, representations, or agreements, whether verbal or written, on the same subject matter.

20. Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario.

21. Changes to These Terms

We may revise these Terms at any time by updating this page. The most current version will always be available at suteraa.com/terms-of-service. It is your responsibility to review these Terms periodically. Your continued use of the Site after any changes have been posted constitutes your acceptance of the revised Terms.
